We are looking for a Senior Legal Counsel based in Hong Kong to provide legal advisory support to the evolving business of Computershare Asia through proactive, aligned and integrated partnership with business stakeholders. This role involves advising on a variety of legal issues and projects, with exposure to both regional and global work of Computershare. It provides an excellent opportunity for an enthusiastic, collegiate and commercially attuned lawyer to join our close-knit Legal team.
A role you will love
As the successful candidate, you will be responsible for negotiating key commercial contracts and for providing strategic legal advice to Computershare’s business, operational, risk and compliance teams in the region.
You will have a proven ability to understand commercial imperatives and to guide the business through challenging contractual negotiations. You have the confidence to work autonomously and provide independent legal advice, but also the good judgment to escalate matters to senior members of your team, as appropriate.
- Preparing, amending, drafting and negotiating commercial agreements between Computershare and its clients, vendors and other third parties.
- Providing legal support to the business in relation to RFPs, tenders and other client proposals.
- Understanding business requirements in order to evaluate legal risk and advising the business on available options to mitigate legal and commercial risk impacts of any decision.
- Identifying and solving legal issues that could impact Computershare business lines, including in relation to the development and implementation of new products and services.
- Conducting research and interpreting applicable rules and legislation impacting business activities and advising the business on implementation requirements.
- Providing strategic advice on potential disputes and tactful responses to queries which may potentially involve SFC or other regulatory oversight.
- Working collaboratively with Computershare’s Compliance function where legal support is required on compliance related matters.
- Working closely with external lawyers to ensure legal matters are handled in an effective, cost-efficient and timely manner.
- Participating in global business initiatives, including the implementation and embedding of global projects, processes and procedures.
- Drafting legal policies and contractual templates for the evolving Asia business.
- Providing training to frontline business on legal and contracting issues.
- A qualification in Hong Kong law from a recognized tertiary institution.
- A current Hong Kong law practicing certificate.
- At least 8 years PQE working in a reputable law firm and/or in house legal team.
- Excellent communication skills and ability to engage effectively with stakeholders at all levels.
- Excellent organization skills, attention to detail, a strong team spirit and desire to work collaboratively in a collegiate environment.
The following experience/skills will be highly regarded:
- HK capital markets rules, securities laws and regulations;
- an SFC licensed entity with a good understanding of the three lines of defense;
- handling complex contracts and project related tenders (including those with Chinese SOEs);
- the (SEHK) Listing Rules (including Chapter 17);
- Trustee/trust deed work; and
- Data Privacy Laws (including the PDPO and Personal Information Protection Law (PIPL) of China).
- PRC experience and/or qualification as a lawyer in mainland China.
- Excellent English and Chinese drafting and negotiation skills and conversational Mandarin.
- Experience working in the financial services industry.
- General knowledge of share registry services and employee equity schemes.
