Assistant Director & Assistant Secretary, Senior Counsel-INVM will assume responsibility for various client groups and/or legal issues. This position requires a proven foundation of investment and/or finance law. Attorney will also be responsible for coordinating day-to-day legal and support others with respect to compliance matters.
- In-depth knowledge of pertinent derivatives, regulatory, and/or liquid traded debt securities laws, regulations, and documents.
- Responsible for interaction with internal and external constituents, clients, including senior management, on various legal issues, including those of a complex nature, with a focus on Derivatives, Liquid Traded Debt Securities and Regulatory Law.
- Responsible for managing projects and supporting others on various legal issues, including those of a complex nature.
- Will be required to perform following:
- Draft and review and draft variety of contracts and agreements, including loan documents, ISDA Mater Agreements, Note Purchase Agreements, NDAs, and.
- Provide regulatory support (including using external resources) appropriate for a registered investment adviser that utilizes derivatives for hedging.
- Assist in analyzing new or sophisticated corporate projects.
- Provide advice to operational and/or shared services regarding legal issues; Research and provide timely advice on applicable legal issues.
- Participate in management and other meetings.
- Work well in cross-functional teams and be accountable for advice and meeting deadlines.
- Juris doctor degree from an accredited law school.
- 5 or more years working for regulatory agency, private law firm and/or in-house experience at an investment adviser, life insurance company or multinational company.
- Derivatives, Regulatory, or Liquid Traded Debt asset class Legal expertise; or asset class legal expertise in private placement, private equity, or private investment funds with willingness to learn derivatives and regulatory areas.
- Bar admission required (with ability to secure CT house counsel status within 6 months of commencing work).
- Advanced understanding of investment law. Solid understanding of asset management industry and the competitive environment. Advanced analytical and communication skills. Dependable team player and able to be cool under pressure. Ability to handle multiple projects effectively. Ability to work on complex legal issues. Ability to deal effectively with clients, including senior management.
