Business Development / Mergers & Acquisitions (M&A) Lead Solicitation
- Role will be core to the M&A team handling broad Corporate M&A activities across the enterprise.
- Participate in ongoing conversations with Management teams of prospective M&A targets and drive financial modeling activities for acquisitions, divestitures.
- Evaluate targets versus Hubbell business & segment metrics (whether or not accretive to margin and growth targets).
M&A Diligence
- Help coordinate and lead overall Hubbell diligence effort for acquisition targets.
- Review seller provided materials and develop initial questions/concerns list.
- Refine standard diligence checklist as needed based on target entity(s) and specific situations.
- Identify areas of concern (finance-related, as well as within other functional areas) to be reviewed / analyzed during diligence process.
- Attend seller presentations and diligence calls (virtually and/or in person as required)
- Manage 3rd party finance diligence support (KPMG).
- Review and comment on Purchase Agreement and provide guidance on financial Reps & Warranties, working capital language, and indebtedness sections of the agreement
- Drive Physical Inventory on-site planning and execution
- Ensure alignment with tax team on matters affecting tax items in diligence, Working Capital and indebtedness.
- Work with Segment and Strategic Business Units on finance integration plan.
- Distill the critical diligence matters that will impact profitability under Hubbell ownership and ensure ongoing monitoring of synergies captured post acquisition.
M&A modelling
- Author and maintain a Discounted Cash Flow (DCF) model based on Seller information.
- Create/extrapolate sound assumptions from limited information, including ability to work independently.
- Select and analyze key variables’ sensitivity and impact on overall valuation.
- Work closely and independently, alongside Business Unit and Segment Finance organizations to create additional versions of DCF to support Indications of Interest (IoI).
- Determine potential synergies or dis-synergies for DCF model.
- “Bridge” results from period to period to identify key drivers of improvements or declines.
- Determine consistencies or inconsistencies with financial results.
- Work with non-finance related diligence teams to assess their findings and whether or not there is a financial implication for valuation purposes.
- Output and present analyses to brief Senior Management and Board with sometimes short notice and multiple iterations.
- Deep understanding of GAAP reporting, inventory costing methods and Financial Planning & Analysis (FP&A) methods.
- Post Deal Close Activities
- Lead Working Capital and indebtedness discussions post close with Seller.
- Lead and provide direction to any third party to assisting Hubbell in conducting Post Close activities
- High level of excel proficiency including pivot tables and other tools to analyze data.
- Understanding of manufacturing environment and associated financial reporting metrics.
- Existing, or ability to form key relationships transcending various functional groups within the Hubbell organization
- Ability to distill and present detailed business analysis and modelling into a form consumable by Senior Management at Hubbell.
